Simplicity Floor (Mike Mysliwec, 47804 Krefeld, Germany). German law applies; the German version below the English text is the binding one for consumers in Germany.

1. Scope and provider

These terms govern all purchases made via Whop from Simplicity Floor: community memberships (Premium), mentorship, and software licenses for automated ATAS strategies and portfolios. Provider: Mike Mysliwec, Baackesweg 91, 47804 Krefeld, Deutschland. Payment, invoicing and subscription management are handled by Whop Inc. under Whop's own terms.

2. Nature of the products – no financial advice

All content (Discord channels, videos, roadmaps, backtests, reports) and all software are educational tools. Nothing is investment advice, a recommendation or a solicitation to trade. Futures trading carries a high risk of loss, including loss of the entire account. Backtests and past results, including our daily reports, are not indicative of future results. You alone decide whether, what and how much you trade.

3. Software licenses (strategies and portfolios)

• One license key per purchase, valid while the membership is active (monthly) or without time limit (lifetime).
• One key may be used on up to two machines and runs one active chart per strategy and market. The software checks the license online at start and periodically; without a valid license it sends no orders.
• The license is personal and non-transferable. Sharing keys or files, decompiling, modifying or redistributing the software is prohibited and ends the license without refund.
• Default settings are the presets we use on our own accounts, chosen from backtests. They are not a recommendation. You may change any setting; then the published backtest no longer applies.
• Requirements: ATAS (Windows) with a market-data connection and a broker or prop-firm account. ATAS is a third-party product with its own license.
• Updates are included while the license is valid. We may change presets, features or supported instruments; we may discontinue a strategy with 30 days' notice, in which case monthly subscriptions end and lifetime buyers receive a comparable replacement or a pro-rated refund at our discretion.

4. Community and mentorship

Discord access is granted through your Whop-linked Discord account. You must follow the server rules. We may remove members who violate the rules, spam, share keys or harass others; paid access is then refunded pro rata only if the removal was not caused by a breach. Mentorship calls are scheduled by mutual agreement; missed calls without 24 hours' notice are forfeited.

5. Term, cancellation, refunds

Monthly subscriptions renew every 30 days until cancelled in Whop; cancellation takes effect at the end of the paid period. Lifetime purchases are one-time payments. Because software and community access are delivered immediately after purchase, consumers in the EU acknowledge at checkout that the right of withdrawal expires once delivery has begun (§ 356 Abs. 5 BGB). Refund requests are handled via Whop; we refund if the software could not be activated for reasons on our side and support could not fix it within 7 days.

6. Availability

The license server and Discord bots are operated with reasonable care but without guaranteed uptime. If the license server is unreachable, licensed software keeps running for 24 hours from the last check. We are not liable for trading losses caused by outages of ATAS, brokers, data feeds, Discord, Whop or our servers.

7. Liability

We are liable without limitation for intent, gross negligence and injury to life, body or health. For slight negligence we are liable only for breach of essential contractual duties and limited to the foreseeable, typical damage, at most the amount you paid in the 12 months before the event. Liability for trading losses of any kind is excluded to the extent permitted by law.

8. Prices and changes

Prices are shown in Whop at checkout, in USD, including applicable VAT where Whop collects it. We may change prices for future periods; existing subscriptions are informed at least 30 days in advance and may cancel. We may amend these terms with 30 days' notice; continued use after the notice period constitutes acceptance.

9. Governing law

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, mandatory consumer-protection rules of their country of residence remain unaffected. Place of jurisdiction for merchants is the provider's registered seat.

Das Widerrufsrecht erlischt mit Beginn der sofortigen Bereitstellung digitaler Inhalte (§ 356 Abs. 5 BGB), worauf beim Kauf hingewiesen wird. Haftung für leichte Fahrlässigkeit nur bei Kardinalpflichten und begrenzt auf den vorhersehbaren Schaden, höchstens die Zahlungen der letzten 12 Monate; keine Haftung für Handelsverluste, soweit gesetzlich zulässig. Es gilt deutsches Recht.
